General terms and conditions of rental

Article 1. Preamble

Any use of the premises made available by Mingle Prod under the trade name "Le 21 by Mingle" implies the formal acceptance without exception or reservation, by the client or any person representing him, of these general conditions of sale. The customer declares to have had them in his possession and to have read them. They are also available for consultation at any time on the website at www.le21.paris. It is understood that the acceptance by the customer of an estimate, the placing of a dated and signed order, the payment of a deposit or the beginning of the execution of a service implies the acceptance of the present conditions.

Article 2. Rental conditions and operation of the premises

The client agrees to provide Mingle Prod, in charge of the marketing of the "Le 21 by Mingle" space, with a call sheet for each performance, stipulating the names and functions of the people present on the rented stage. Consequently, the latter will be considered as mandated by the Client to incur any expenses with Mingle Prod. However, the Client can formally designate to Mingle Prod a single person in charge of committing expenses on his behalf. In the absence of a roadmap or a designated person, all persons present on the set will be considered as mandated by the Client.

Every service provided by " Le 21 by Mingle " is subject to the establishment by Mingle Prod's teams of a set sheet and/or a corresponding estimate detailing the equipment and services requested by the Client. The set sheet and/or the estimate will be used as the basis for the final post-hire billing. For each service, an expense sheet will be completed by the stage assistant. This form certifies the expenses incurred by "Le 21 by Mingle" on behalf of the customer.

Rental of 21 by Mingle is charged by the day between 9am and 7pm, for a duration of 10 hours.
Additional occupancy time will be charged as overtime:

• 50€ HT per 1 hour, between 7am and 9am and between 7pm and 9pm.
• From 9:00 p.m. to midnight, the overtime will be increased by 25%.
• From midnight to 6am, the overtime will be increased by 50%.
• Any hour started is due.
• An increase in the rental price is applied on weekends: 25% on Saturday and 50% on Sunday.

In accordance with the collective agreement of the audiovisual production applicable to the staff of the company "Le 21 by Mingle", any service lasting more than 12 hours must be planned at least 24 hours in advance and be the subject of a specific estimate.

All our estimates are valid for 7 days and become null and void if they are not returned signed and stamped with the mention "good for agreement" within 7 days before the start date of the service. Any order cancelled less than 96 hours (4 days) before the start of the service will be invoiced in full. Any material or accessory not collected within 48 hours following the end of the service will give rise to the payment by the Customer of a daily storage fee calculated according to the volume stored. Items not recovered by the Customer within 7 calendar days will be disposed of and will be subject to additional billing.

For security reasons, it is reminded that the Customer is responsible for the couriers he uses. Consequently, he commits himself to deposit and receive his parcels with the couriers he mandates. In the absence of the Customer, the visa affixed by Mingle Prod on the letters or delivery slips never engages its responsibility nor that of its teams, and has for only object to confirm the passage of the deliverymen towards their house and is not worth in no case receipt, nor acceptance of the goods.

Article 3. Deposit of guarantee

The Client will give Mingle Prod, at the latest on the date of the inventory of fixtures, a check as a security deposit. The amount will be indicated on the estimate. Mingle Prod will return the check within a week after the inventory of fixtures if no difficulty has been found. The deposit may be withheld, in part or in full, to cover all or part of the financial consequences provided as being the responsibility of the Customer. In no case the retention of the deposit can be considered as a balance between the parties and does not imply in particular any waiver of the company Mingle Prod to assert its rights.

Article 4. Recourse, liability and insurance

Mingle Prod commits to provide the Client with the premises "Le 21 by Mingle", the equipment and materials in perfect working order. The client commits to return them in the same state. In the case of failure to do so, the customer will be charged for the repair and restoration of the equipment and materials, and will be required to submit an estimate or invoice from the service provider responsible for the repair. The Customer is responsible for all persons present at the place of service and the consequences of their actions. The customer undertakes to take all necessary security measures for the valuable goods he brings into the premises of "Le 21 by Mingle". He commits himself to inform the teams and/or managers of the company Mingle Prod beforehand.

Mingle Prod cannot be held responsible for any physical, material or immaterial damage occurring in the premises as well as for any theft, deterioration or damage of any kind that may occur to cash, materials, clothing or any other goods, including animals, brought by the Client, his representative or his agents. Consequently, it is the Client's responsibility to take out the necessary insurance to cover all the above-mentioned risks. He commits himself to present the corresponding certificate at the first request of the company Mingle Prod.

Article 6. Terms and conditions of payment

The confirmation of the rental is subject to the signature of the quote with the company's stamp.
Any option not confirmed 5 working days before the shooting becomes null and void. Another confirmation of the reservation can then take place during this period.
In case of cancellation after confirmation, a cancellation fee of 10% of the total amount including VAT of the quote must be paid by the customer to the company Mingle Prod. This indemnity will be 40% of the total amount of the quote in case of cancellation less than 5 days (except weekends and holidays) from the date of booking. The total amount including all taxes of the estimate will be entirely due in the event of cancellation less than 24 hours (except weekends and public holidays in France) before the date of reservation. The authorization to broadcast the images taken in the space "Le 21 by Mingle" and/or representations of the space "Le 21 by Mingle" is given under the suspensive condition of the payment in full of the sums due for the provision of the space and the services provided for in the estimate accepted by the customer.

All services are payable as follows:

• Deposit of 30% at the confirmation of the order
• Balance (70% remaining), 48h before the day of the service
• Additional services not quoted are payable on the same day on receipt of the
  invoice by bank transfer (with sending of the order) or cash.
  No discount will be granted.

If an invoice is not paid by its due date, late payment interest will be due automatically and without prior notice, from the first day following the due date, calculated at three times the French legal interest rate.
In addition, all other invoices issued to the same Customer, even if not yet due, shall be immediately payable as well as all due dates payable in advance relating to one or more invoices.
The Customer undertakes to reimburse all costs and fees incurred by the legal recovery of the sums due, including costs, fees and/or emoluments of judicial officers.

Article 7. Disputes

In the event of a technical incident or dispute, the customer must submit his or her observations in writing within 24 hours of the date of the service (as evidenced by the postmark).
